At Kindred's Annual General Meeting (AGM) in April 2023, the nominating committee has chosen Cédric Boireau, Jonas Jansson, Andy McCue, Martin Randel, and Kenneth Shea to serve as board members until the AGM in 2024.
With Evert Carlsson, James H. Gemmel, Carl-Magnus Månsson, and Heidi Skogster all being re-elected, the decision was made that the Board of Directors shall have nine members without deputy members until the AGM 2024.
A majority of the Directors are being replaced by the Nomination Committee's recommended board, and the committee's chairman, Keith Meister, stated that the committee feels it is important to inform stakeholders of this fact as soon as possible.
"The Nomination Committee has interviewed the current Board of Directors members, a large number of highly qualified candidates, and Kindred's CEO since it was formed in the autumn of this year."
Boireau, a French citizen, has been an employee of SAS Premier Investissement for more than a decade, while Jansson, a Swedish citizen, is a private investor who works for himself.
Shea is a director of investments at Hamilton Point Investments, McCue chairs the board of directors of Thérapie Clinic and Camile Thai, Randel is an entrepreneur and private investor from Sweden, and McCue is a citizen of the United Kingdom.
Meister further by saying, "The proposed new Board has the right mix of continuity: new directors representing large owners, proven industry leaders, and business leaders with capital markets, M&A, and entrepreneurial expertise." This means that the board will include both newcomers and seasoned professionals in the sector.
As far as the Nomination Committee is concerned, the proposed Board would do an excellent job of collaborating with management and looking out for the interests of shareholders. In my opinion, the newly formed Board will explore all possibilities in order to generate long-term, risk-adjusted value for all shareholders.
